Rashpaul Bahia is a partner in the law firm of McDermott Will & Emery UK LLP, based in its London office. His practice primarily focuses on energy and derivatives transactions, representing banks, hedge funds, energy and commodity companies on a variety of transactional, cross-border regulatory and risk management issues. Rashpaul has also worked on a number of cross-border financing transactions, debt restructurings, project financings and transactions involving power companies.
Rashpaul has considerable experience advising clients on the documentation of both financially-settled and physically-settled commodities transactions involving emissions, coal, oil, gas and power, including the negotiation and analysis of such agreements. Rashpaul has also worked on a number of structured commodities transactions advising on such matters as tolling agreements, trading services agreements and transactions involving Kyoto Mechanisms such as Clean Development Mechanisms. He has advised clients on the establishment of UK and EU energy trading businesses and has worked on a number of high profile M&A transactions in the energy sector. Rashpaul's knowledge about cross-border regulatory issues has also enabled him to advise clients on responses to consultations by regulators on the liberalisation of the European energy markets.
Rashpaul has also completed secondments to the commodities divisions of two major US investment banks where he was responsible for advising on transactional and regulatory issues arising in respect of commodities transactions.
Rashpaul has authored numerous articles, including features in Practical Law for Companies, Bloomberg European Law Journal and International Financial Law Review. He also sits on the firms Graduate Recruitment Committee and Associate Development Committee.

- Representation of J. Aron & Company / Goldman Sachs in acquiring the international commodity trading business of Constellation Energy Commodities Group, Inc.
- Representation of Merrill Lynch on its acquisition of the energy trading business of Entergy-Koch
- Advising clients in respect of regulatory issues concerning the Financial Services Authority
- Advising banks and energy and commodity companies on the documentation of their commodities transactions and relationships, involving master trading agreements such as ISDAs, EFETs, GTMAs and NBPs
- Advising a major US investment bank on its UK commodities trading operations and also coordinating, managing and reviewing a multi-jurisdictional project involving legal and regulatory analysis in over 90 jurisdictions
- Advising on tolling agreements involving emissions, coal, oil and power
- Advising a leading investment bank in relation to off-take arrangements with a large coal fired power station
- Acting for the sponsors in relation to the design, construction, financing, operation and maintenance of the Thessaloniki Submerged Tunnel Project
