John P. Tamisiea is a partner in the law firm of McDermott Will & Emery LLP and is based in the Firm’s Chicago office. He represents business enterprises of all sizes in corporate and securities law matters, concentrating his practice on mergers and acquisitions, public offerings, strategic alliances and general corporate counseling. In several of these instances, John serves as the client’s general outside counsel. His clients include Fortune 50 companies, publicly and privately held companies, investment banks and private equity firms. He has extensive experience in the technology, general industrial, financial services and health care sectors.
John advises both public and private companies in merger and acquisition transactions, ranging from domestic mid-market transactions to multi-billion dollar transactions involving multiple jurisdictions, as well as drafting and negotiating all types of commercial arrangements. He also represents underwriters and issuers in connection with all types of securities offerings, ranging from initial public offerings of common stock to billion dollar public offerings of investment grade debt.
In addition, John regularly counsels clients on securities law compliance and corporate governance matters including the Sarbanes-Oxley Act and related regulations and other state corporate and securities law issues. John also acts as outside counsel to public companies in connection with preparation of periodic reports and proxy statements and insider trading and disclosure issues.
John is co-head of the Healthcare Royalty Sales group.
John is admitted to the bar in the state of Illinois and is a member of the American Bar Association.
