Andrea Tempestini is a partner in the law firm of McDermott Will & Emery Studio Legale Associato, based in its Milan office. He focuses his practice on domestic and international tax issues relating to M&A transactions, corporate restructurings, debt restructurings, use of financial products, syndicated corporate financing.
Andrea advises Italian and international companies, including financial institutions and private equity funds, on a broad spectrum of tax matters also relating to their ordinary activity. He recently focused on the tax implications of the International Accounting Standards (IAS/IFRS)
Andrea completed an internship with the Dutch and Luxembourg offices of a leading law firm and he has lectured on several tax matter at various institutions and also at large corporations within dedicated seminars and workshops.
Andrea is ranked as a leader in his field by Chambers Europe and Chambers Global 2011, he is described as a "significant name in the sector, with peers complimenting his extensive involvement throughout the market". He is also mentioned in World Tax 2011 and the TopLegal Elite Tax Survey 2011.
Representative Experience
- Advising Italian and International private equity funds on virtually every phase of their investments (structuring of the acquisition through the use of collective vehicles, post-acquisition restructuring and exit)
- Advising financial institutions and Italian corporations on the typical (direct and indirect) tax issues relating to senior facility loans, participation agreements, cash collateralized guarantee schemes and other kind of financing, both from the perspective of the lender and of the borrower
- Advising an Italian multinational group listed in NY and Milan, world leader in the fashion business on the restructuring of intra-group financing and trading activities and tax planning on acquisitions in China
- Assistance to a primary private banker in the drafting of the tax clauses of the contracts with clients, and advice on all of the issues related to the taxation of financial income with individuals and the related implication for the bank as tax agent
- Advising an Italian Foundation in any tax related issues regarding the sale of a huge area in the centre of Milan, the set-up of a large exhibition facility just outside of the city and the taking up of the relevant financing

Advising the extraordinary commissioner of an Italian listed company on the international tax implications of the extraordinary bankruptcy procedure to which it has been admitted
