Anne (Polly) G. Plimpton is counsel in the law firm of McDermott Will & Emery LLP based in the Firm’s Boston office.  Polly is a member of the Firm’s Corporate Department with more than 30 years of experience advising public companies, venture capitalists and other investors and investment banks.  She concentrates her practice on insider trading and reporting under Section 16, executive compensation and other proxy disclosure, corporate governance, board and committee structure, institutional investor initiatives, federal and state exceptions for private financings, and resales of restricted securities under Rule 144.

Polly is immediate past chair of the Employee Benefits, Executive Compensation and Section 16 Subcommittee of the Federal Regulation of Securities Committee of the American Bar Association.  She is also a member of the Securities Law Committee of the Society of Corporate Secretaries & Governance Professionals (formerly known as the American Society of Corporate Secretaries) and co-chair of the Corporate Law Committee of the Boston Bar Association.

Polly has been actively involved in SEC rulemaking and frequently writes and speaks about securities law and corporate governance.  She is the author of the chapters about director independence and disclosure of related person transactions in The Practical Guide to SEC Proxy and Compensation Rules published by Aspen Law & Business.

Polly was an editor of the Georgia Law Review and is admitted to practice in Massachusetts.
