Marco Pessi is a partner in the law firm of McDermott Will & Emery Studio Legale Associato, based in its Rome office. He is a member of the Corporate Department and the Restructuring & Insolvency Group, where he specialises in merger & acquisition transactions, restructuring, financing, asset-based lending and other complex financings.
Marco has strong experience in real estate transactions having assisted both private and public corporations in their investments in Italy.
Marco was admitted to the Italian Bar in 1994. He speaks English and Italian.
Representative Experience
- Assisted one of the largest European insurance companies in relation to the release of its share in an IT company and its restructuring
- Assisted a US merchant bank in the purchasing stake of an Italian public communication company for an aggregate amount of €1.5 billion
- Assisted one of the largest European banks, based in Rome, in derivatives transactions including currency swaps, credit default swaps and collateral guarantees
- Assisted a private client in an M&A transaction in relation to the sale of its share in Italy’s largest brewery. The transaction included put & call option agreements and shareholders agreements
- Advising the largest worldwide airport retail business in its Italian retail business
- Advising a private equity fund in the hostile take-over of a listed Italian company, a leader in frozen food production
- Assisted one of the largest UK IT companies in its restructuring through the sale and purchase of its distressed receivables for an aggregate amount of €200 million
- Assisted a UK investment bank in the purchase of distressed receivables converted in the stake of a listed Italian corporation
- Assisted a U.S. private equity fund in the acquisition of the assets and the IP properties of Frette, one of the major worldwide leaders in the production, trade and distribution of textiles
- Assisted an Italian corporation in obtaining an aggregate of €100 million senior and junior debt facilities from a cross border bank group guaranteed by a complex structure of international securities
- Assisted a U.S. corporation in the purchase of hotels and real estate in Italy
