Konstantin Günther is the partner in charge of McDermott Will & Emery Rechtsanwälte Steuerberater LLP Düsseldorf´s office where he heads the Corporate Department. His practice focuses on mergers and acquisitions including public takeovers, private equity and capital markets. He has extensive experience in international and cross-border M&A transactions and has represented public and private companies including multinationals as well as medium-sized businesses in numerous transactions.
His experience covers the photographic imaging, chemical, pharmaceuticals, engineering, transport and logistics, automotive, steel, film and entertainment sectors. He is legal advisor to a large Japanese multinational on all merger and acquisition transactions and major corporate matters in
Konstantin advised A-Tec Industries AG, an Austrian investor, in a public takeover bid for a ATB Welzheim AG, a German listed manufacturer of transmission engines, and the subsequent squeeze-out of minority shareholders and the delisting of the target. Furthermore, he advised the supervisory board of Wella AG in connection with the public takeover by Procter & Gamble. In addition he gave advice to J.W. Childs Associates, L.P. regarding its acquisition of the Sunny Delight and Punica juice-based beverage brands from Procter & Gamble Co. and the subsequent corporate restructuring of the German business activities. Most recently he advised Aixtron AG in the cross-border stock-for-stock acquisition of all shares in the listed Genus Inc.,
Konstantin’s corporate work focuses on stock corporations and corporate restructuring. He advised majority shareholders of both publicly listed and private companies on squeeze-outs of minority shareholders. His commercial expertise include regularly advising foreign companies on distribution and other sales agreements.
Konstantin also has extensive experience in the area of capital markets. He has advisedunderwriting banks and issuers on a number of IPOs and secondary offerings.
