David Schumacher is a partner in the law firm of McDermott Will & Emery LLP and is based in the Firm’s Houston office.  He represents both lenders to and developers of energy and other infrastructure projects developed in all parts of the world. David has advised lenders and investors in both commercial bank and capital markets debt financings of energy and infrastructure projects and on behalf of project developers has drafted, negotiated, reviewed and analyzed project documents necessary for energy and infrastructure project construction and operation.

David is recognized by Chambers USA for being a leader in projects in Texas and is noted as being “well regarded as a committed individual in international and domestic energy projects.”

David is a member of the District of Columbia Bar, Virginia State Bar and Texas State Bar.

Representative Experience

  • Represented tax investor in multiple $100 million transactions providing for the financing of distributed solar energy projects.  Each transaction was based on a lease structure and the pass-through to the investor of Treasury Cash Grants paid on each solar project.Represented the lenders in the $870 million debt financing for the construction and operation of the Gulf LNG Energy LNG receiving terminal in Pascagoula, Mississippi
  • Represented an energy company in the negotiation of LNG supply and terminal capacity assignment agreements
  • Represented the lenders in the $185 million Term A and Term B debt financing for the construction and operation of the Bobcat Gas Storage project in St. Landry Parish, Louisiana
  • Represented Freeport LNG Development in the $383 million private placement of debt, the proceeds of which are necessary to fund the construction and operation of Freeport LNG’s proposed LNG receiving terminal in Freeport, Texas
  • Represented the underwriter in the $275 million 144A debt offering with respect to the Yam Tethys gas production platform located offshore Israel
  • Represented the International Finance Corporation in the $150 million financing of the natural gas pipeline that is owned and operated by Transierra S.A. in Bolivia
  • Represented a multinational energy developer in connection with the development and project financing of a project involving the construction of an LNG receiving terminal, storage and regasification facility in the Bahamas and an associated subsea natural gas pipeline to Southern Florida
  • Represented institutional lenders in connection with a $104 million private placement of debt issued by Albecour Inc. to finance the expansion of an aluminum smelter in Québec, Ontario
  • Represented Corporación Andina de Fomento as senior lender in the proposed $125 million financing of an expansion of the Bolivian portion of the Bolivia-Brazil natural gas pipeline, owned and operated by Gas TransBoliviano, S.A.
  • Acted as project due diligence counsel to the consortium of institutional lenders in the $90 million mezzanine financing of the expansion of the Bolivian portion of the Bolivia-Brazil natural gas pipeline, owned and operated by Gas TransBoliviano, S.A. 
  • Advised Citibank N.A. in the $420 million lease financing of the 535 megawatt (MW) power project located in Johnston, Rhode Island
  • Represented The AES Corporation in the development of a 730MW power project located in Hood County, Texas
