Andrea Hamilton is a partner in the law firm of McDermott Will & Emery LLP based in its Brussels office.  She is a member of the Antitrust and Competition Practice Group.  Formerly based in the Firm’s Washington DC office, Andrea focuses her practice on mergers, acquisitions, government investigations, and complex antitrust litigation, with significant experience in life sciences, high tech, pharmaceuticals, defence, consumer products, health care and chemicals industries. 

Andrea has represented clients before the European Commission and the European Parliament, as well as the US Federal Trade Commission and US Department of Justice and other national authorities. 

Andrea’s experience includes counselling clients on matters related to distribution practices, cooperation agreements and other competition and trade related matters, including trade sanctions.  

Andrea has authored numerous articles on antitrust law in both the United States and in Europe.  She previously served as the Editor-in-chief of the Virginia Journal of International Law, and currently is a member of the International Bar Association Antitrust Committee and the American Bar Association Antitrust section.

Andrea is admitted to practice as an attorney-at-law in New York and Washington DC, and as a solicitor in England and Wales.  She is also admitted to the Brussels Bar (Flemish section, B-list).

Representative Experience

Merger Control:

  • Advised Fila Korea Ltd and Mirae Asset in connection with its acquisition of Acushnet Company
  • Advised Orica Ltd on its acquisition of Dyno Nobel's explosives business
  • Advised Blackboard, Inc. in its merger with WebCT, two leading suppliers of course management software
  • Advised Lockheed Martin in connection with the creation of the United Launch Alliance joint venture
  • Advised a leading beverages producer in connection with the sale of its Western European business
  • Advised a leading life sciences equipment manufacturer in connection with multiple transactions
  • Advised a leading biologicals manufacturer in connection with multiple transactions
  • Developed multijurisdictional merger notification strategies and coordinated national notifications for numerous transactions (including in Brazil, Germany, Korea, Nigeria, Portugal, Russia, Taiwan, Singapore, Spain, Turkey and Ukraine)
  • Represented interested third parties in connection with merger investigations before the European Commission and US Federal Trade Commission

Government Investigations

  • Represented a multinational high-tech company in the first settlement case under the European Commission’s Cartel Settlement Procedure
  • Represented a multinational chemicals manufacturer in the second (hybrid) settlement case under the European Commission’s Cartel Settlement Procedure
  • Represented a leading IT services provider as a complainant before the European Commission, which resulted in the Commission launching an investigation

  • FMC v. Commission, Case T-197/06 (European General Court) – appeal of European Commission decision
  • CDC v. FMC et al., Case No. 13 O 23/09 (Kart) (Regional Court of Dortmund, Germany) – follow-on damages
  • Texaco, Inc. v. Dagher (US Supreme Court; represented third party as amicus curiae) – joint venture pricing
  • Byers v. Free File Alliance (E.D. Pa and Third Circuit) – program providing free tax filing services
  • Ortho v. Amgen (D.N.J) –  bundled discount arrangement
