Scott J. Arrington, P.C. is a partner in the law firm of McDermott Will & Emery LLP and is based in the Firm’s Houston office.  He represents domestic and overseas companies, joint ventures and public-private partnerships in connection with infrastructure development, acquisitions, dispositions, financings and international transactions, with a focus on international projects in the oil and gas, petrochemical, power and mining industries.  Scott has been recognized since 2005 in Chambers USA (Projects-Texas) as a leading attorney and is recognized in The International Who’s Who of Business Lawyers: Oil & Gas (2010).  He speaks Mandarin Chinese and Spanish.

Scott has considerable experience negotiating and drafting commercial agreements covering the spectrum of project development, especially in the energy industry and including joint venture agreements; engineering, procurement and construction agreements; fuel and other feedstock supply agreements; gas sales agreements; power purchase agreements; LNG terminal use agreements; and financing arrangements.  In addition to his project development work, Scott has significant experience in acquisition and disposition work and has negotiated such transactions on both the stock and asset level.  Scott has spent a significant portion of his career executing both development and acquisition/divestiture transactions across borders, particularly in Latin America and Asia (including the Middle East).

Scott received his B.A. cum laude from Rice University in 1990. He received his J.D. in 1995 from the University of Texas, where he served as an articles and notes editor of the Texas International Law Journal. He is a member of the State Bar of Texas, the Houston Bar Association, the International Bar Association and the Association of International Petroleum Negotiators..

  • Represented a major integrated oil and gas company in the restructuring of its power supply arrangements to prepare for the spin-off of its largest refinery
  • Represented a European energy trading company in its acquisition of a significant ownership interest in a U.S. coal mine
  • Represented a United States energy company in the structuring and negotiation of construction management, operation and maintenance and related licensing arrangements with respect to what will be the largest solar thermal power project in the world
  • Represented an international wind energy company with respect to the negotiation of multiple power purchase agreement in the United States
  • Represented an international energy company in its acquisition of a majority ownership in a wind farm in Nicaragua
  • Represented a global financial services firm in its acquisition of capacity rights at a U.S. LNG receiving terminal and in a related cooperation agreement
  • Represented a United States developer in the disposition of a 100 MW biomass-fired power plant in development in the United States
  • Represented a Chinese mining company in the negotiation of its EPCM contract with an international engineering and construction company for a $2 billion mine in South America
  • Represented an international energy company in the formation of a joint venture to hold power production assets in Nicaragua
  • Represented the developer of an LNG regasification facility in South America, including with respect to its terminal use agreement and related operation and coordination agreement
  • Represented a United States energy company with respect to the acquisition of a clean technology energy services company
  • Represented a Canadian oil and gas company in connection with its integrated cross-border oil sands and refinery joint venture with another major oil and gas company
  • Represented a Canadian independent oil and gas company in its investment in U.S. oil and gas upstream assets, including properties in the Fayetteville shale
  • Represented a U.S. major independent oil and gas company in its disposition of subsidiaries with exploration and production interests offshore Qatar
  • Represented an international mining company in its negotiations with an Alaskan native corporation regarding joint exploration for, and related rights to, coal in a significant portion of Alaska
  • Represented a European energy company in connection with its acquisition of a minority interest in the Camisea LNG project and related upstream assets and in connection with the LNG sales and purchase agreement for all of the LNG produced at the Camisea liquefaction facility
  • Represented a Scandinavian infrastructure development company with respect to its bid and related contract negotiations for a public private partnership toll road project in Texas
  • Represented a Texas refinery in connection with its purchase of two abandoned factories in Texas
  • Represented a U.S. independent oil and gas company in its restructuring of a joint operating agreement for operations offshore China
  • Represented a European plastics company in its negotiation of a tolling services agreement with a Chinese factory
  • Represented an international energy company in its acquisition of a 245 MW cogeneration facility under development in Mexico and, subsequently, the project company and its affiliates with respect to the development and ongoing operations of the facility
