John M. Callahan is a partner and the Head of International Healthcare M&A in the law firm of McDermott Will & Emery LLP and is based in the Firm’s Chicago office. He focuses his practice on mergers and acquisitions in the health services and life sciences industries.
John has developed a reputation for representing private equity firms, academic medical centers and health systems, governmental entities and other healthcare companies in the acquisition and divestiture of businesses and business lines. His unique focus on both corporate law and on health regulatory law has given him an unusual and important knowledge that is critical to the successful negotiation of health industry transactions. In his capacity as deal counsel, John has handled some of the most high-profile U.S. and international transactions within the health sector to date, as well as a variety of change-of-control transactions designed to address the strategic positioning needs of private, governmental and non-profit entities.
Given his knowledge of the industry, John also has provided strategic and legal advice on a variety of operational issues unique to health care companies. This has included advice related to the creation of business ventures and arrangements designed to address the changing needs of health systems in light of health reform legislation. He has been actively involved in the creation of hospital service line management and branding relationships between academic medical centers and regional health systems in the United States and abroad. John also has developed and executed cutting-edge legal and financing structures for the development of large capital projects, such as medical parks and proton therapy centers.
Both inside and outside of the health care industry, John has been recognized for his knowledge in developing and negotiating complex, multi-party contracts that document unusual or unique business relationships between the contracting parties. He also has been active in advising clients on corporate governance and compliance issues, as well as on wholesale reorganizations of corporate systems.
John was named by Nightingale’s Healthcare News as an “Outstanding Healthcare Transaction Lawyer” for 2009. In 2008 through 2011, John was recognized as a “Rising Star” by Law & Politics magazine and was the only lawyer recognized for health-sector M&A by Best Lawyers, a leading international peer review organization.
