David W. Locascio is a partner in the law firm of McDermott Will & Emery LLP and is based in the Firm’s Houston office. David is a member of the Energy & Commodities Advisory Practice Group, and co-chairs the Project Development, Finance and Infrastructure practice.
David has extensive experience in the raising of equity and debt financing for energy, infrastructure and real estate projects, including the negotiation and preparation of joint venture, limited partnership and limited liability agreements, stock and asset purchase agreements, and warrants, options and put/call rights. Energy projects include both conventional and renewable energy projects.
He negotiates and prepares exclusive supply and hedging agreements, master energy trading agreements, interest rate and other hedging agreements. He counsels and represents diverse financial institutions in the negotiation of financial derivative products.
David also represents financial institutions, as lead agent and arranger, in the closing and restructuring of syndicated corporate credit facilities, project loans and structured finance transactions involving energy, infrastructure and real estate assets and companies.
David is a Certified Public Accountant and a member of the Houston Bar Association. David’s affiliations include State Bar of Texas, Oil, Gas and Mineral Law, Real Estate, Trusts and Estates, and Construction Law Sections and Houston Bar Association, Real Estate and Oil, Gas and Mineral Law Sections. He is admitted to practice in Texas.
