Carlo Maria Paolella is a partner in the law firm of McDermott Will & Emery Studio Legale Associato, based in its Rome office.  He is head of the Italian Tax department, where his practice focuses on domestic and international tax issues relating to mergers and acquisitions, corporate reorganisations, cross-border transactions, capital markets and collective investment vehicles.   He also regularly advises on the tax profiles of employee incentive plans, debt restructuring and financial products, joint ventures, partnerships and other flow through vehicles.

Carlo advises several Italian and international companies, including multinational listed companies and financial institutions. He advises Italian and multinational companies on multiple tax law issues, providing opinions in both Italian and English.   This advice ranges from the tax implications of stock exchange listings, through to mergers, acquisitions and international restructurings.  

Carlo is a member of the IFA (International Fiscal Association), and was the Italian Reporter at the 2000 IFA Congress in Monaco on the subject of deferred compensation. He is also a member of the International Tax Committee of the Association of Dottori Commercialisti of Rome and the International Technical Committee of CERTI-BOCCONI.

Carlo is named as a leader in his field in Chambers Global (“skilled lawyer couples technical skill with wider support in various problems”).

Representative Experience

  • Advising Italian and US listed companies on employee incentive plans
  • Advising Italian and International private equity funds on the structuring of collective investment vehicles for the effective holding of Italian participations, and on the acquisition and sale of several Italian businesses
  • Advising an Italian industrial multinational company listed in N.Y. and Milan on a senior credit facility, an intellectual property restructuring and a corporate restructuring
  • Advising a US multinational group world leader in the Medical Device & Diagnostic business on the reorganisation of the Italian, operations and on the group transfer pricing policy in cooperation with the US parent,
  • Advising the Italian affiliates of a beverage world leader group on the restructuring of intra-group financing, on several corporate reorganisation plans and on   group transfer pricing policy in cooperation with the Parent company
  • Advising an Italian multinational group listed in NY and Milan, world leader in the fashion business on the restructuring of intra-group financing and trading activities and tax planning on acquisitions in China
