Seth T. Goldsamt is a partner in the law firm of McDermott Will & Emery LLP and is based in the Firm’s New York Office. He focuses his practice on the fields of private equity, mergers and acquisitions, and public and private securities offerings.
Seth has served as lead counsel in a wide variety of U.S. and international corporate transactions, including public and private mergers and acquisitions, private equity co-investments, equity bridges, venture capital investments, securities offerings (including offerings by China-based companies), joint ventures and strategic alliances, licensing and restructuring transactions.
Seth has extensive experience in private placements of equity and debt securities (including PIPE transactions), representing both issuers and investors in a number of industries, including energy/renewable energy, technology, telecommunications, transportation, pharmaceuticals and health care.
In addition to handling transactional work, he advises clients on general corporate matters and various aspects of corporate governance, as well as on compliance with the federal securities laws.
Representative Transactions
- Represented Morgan Stanley & Co. Incorporated with respect to its equity investment in connection with the $45 billion acquisition of TXU Corp., the Texas energy company. The transaction represents the largest leveraged buyout in history.
- Represented Morgan Stanley Principal Investments, Inc. as an equity investor in Mitel Networks Corporation, a leading provider of unified communications solutions and services for business customers, in connection with Mitel’s $723 million acquisition of Inter-Tel (Delaware) Incorporated, a full-service provider of business communications solutions.
- Represented Caritas Christi Health Care System in connection with the sale by Caritas Christi of substantially all of its assets, including its six hospitals located in Eastern Massachusetts, to Steward Health Care System LLC, an affiliate of Cerberus Capital Management, L.P.
- Represented Transit Wireless, LLC, a joint venture formed to design, market, install, own, operate and maintain a neutral, shared wireless infrastructure to provide commercial wireless cellular and internet services to the MTA’s New York City Transit Authority subway riders within the 277 underground subway stations in New York City, in connection with an investment by Broadcast Australia.
- Represented private investment fund in connection with its investment in debt and equity of a company engaged in the business of developing, owning and operating multi-product biorefineries using proprietary technologies to produce ethanol and specialty chemicals from traditional feedstocks and waste biomass.
- Represented one of the largest supermarket companies in the world in connection with its $2.5 billion acquisition of a supermarket chain in the United States.
- Represented U.S. private investment funds in connection with formation of Virgin America, a Virgin-branded, start-up low cost airline.
- Represented a leading NYSE-listed dermatological pharmaceutical company in connection with the acquisition of rights to certain products.
- Represented private investment fund in multiple equity investments in a pulp mill operator in Western Canada.
- Represented bondholders’ committee in connection with $510 million bond restructuring of Grupo TMM, a Mexican transportation and logistics company.
- Regularly represent private investment fund in connection with PIPE investments.
- Regularly represent private equity and mezzanine debt investment funds in connection with equity and debt investments in various LBO transactions, including the acquisition and disposition of Eight O’Clock Coffee Company.
- Regularly represent private equity investment fund in connection with its investments in a Dutch provider of colocation services in Europe.
- Regularly represent Danish companies in connection with U.S. corporate, structuring and other transactional matters.
While at Columbia University School of Law, Seth was Head Research & Writing Editor of the Columbia Journal of Law and Social Problems.
