Dr. Stephan Rau is a partner in the law firm of McDermott Will & Emery LLP Rechtsanwälte Steuerberater LLP, based in its Munich office. He is a member of the German Corporate Department and the Firm’s Health Law Practice Group, where his practice focuses on corporate law, M&A transactions and healthcare regulation (including academic organizations) and related compliance.
Stephan advises investors in corporate restructurings and in the acquisition of companies. In the healthcare sector, Stephan also advises on licensing issues. Stephan works for various private equity companies and strategic investors. He advised several North American companies to enter into the European market.
In 2004, Stephan advised on the foundation of the first German corporate medical centre. Since then he has represented numerous laboratories, laboratory equipment manufacturers, radiology groups, dialysis service providers, hospitals, pharma and medtech companies, governmental entities and other investors in acquisitions, corporate restructurings and licensing proceedings. Stephan speaks regularly at healthcare conferences and is the author of numerous publications on corporate law and licensing issues.
Stephan has been published in all of the above-stated areas of law, as well as on matters relating to Russian privatisation and antitrust law. Prior to joining McDermott, Stephan worked with a large international law firm in Munich. He also practiced for international law firms in Moscow, Hamburg and Berlin.

Stephan earned his Dr. jur. from the Humboldt-University in Berlin, and studied at the Universities of London (at the London School of Economics), Heidelberg and Paris-Dauphine.
Stephan has been admitted to the German bar since 1999 and is a member of the German-American Lawyers’ Association as well as the German Association of Corporate Law. He speaks English and French and is a certified interpreter and translator for Russian.
