Our Global Finance Practice is supported by lawyers from our environmental, ERISA, bankruptcy, private equity, mergers and acquisitions, general corporate, real estate, workout litigation and tax practices, who have extensive experience in structuring and restructuring complex financings.
Our finance and banking lawyers represent both lenders and borrowers. Our clients include U.S. banks (money-centers, regionals, super-regionals and locals), international banks, branches and agencies (European, Japanese, South and Central American, Middle Eastern and others), investment banks, institutional, and other non-bank investors, asset-based and finance company lenders, debtor-in-possession financiers and holders of subordinated mezzanine and debt.
In addition, the Firm's private placement group has extensive experience as special investors counsel representing institutional lenders, including virtually all of the larger and medium-sized insurance companies and institutional investors in connection with the direct placement of corporate securities, in a wide variety of U.S., U.K. and international debt, equity, lease, credit tenant lease, project and securitization financings. Among the various types of private placement financings in which we are most actively engaged are conventional secured and unsecured debt issues for all types of business entities, leveraged lease financings of all property types, mezzanine transactions, private equity financing, credit tenant loan transactions and workouts and restructurings of private placements.

In particular, our experience includes tax planning and defense, regulatory counseling and advocacy, and legislative representation. We represent clients in connection with a broad range of financial products, from standardized exchange-traded securities, futures contracts, forwards, and options to such highly complex and rapidly evolving over-the-counter products as securitized assets, customized swaps, notional principal contracts, contingent debt instruments and hybrid products that have enjoyed explosive growth in recent years. We represent businesses and individuals that are active in the securities, commodities, farming, banking and insurance businesses. We provide tax planning and legislative counseling in the context of those issues raised by financial products developed, used or traded for investment, risk management, hedging and arbitrage activities.
