FINANCE & BANKING
Our Finance & Banking Group represents international commercial banks, institutional investors, investment banks, investment funds, corporate and special purpose borrowers, and other financial institutions. We advise on numerous types of transactions and financial products, including private placements, leveraged and asset-based financings, syndicated and bilateral lending, project financings, cross-border financings, leveraged leasing, credit-enhanced financings, derivatives transactions, commercial banking and securitizations.
MERGERS & ACQUISITIONS
Our Mergers & Acquisitions Group is a globally integrated team of corporate lawyers providing high-end M&A services to a broad range of clients around the world. We represent clients in both friendly and contested public company acquisitions, proxy contests, stock and asset acquisitions and divestitures and joint ventures. We have extensive experience in complex cross-border transactions and work closely with members of our Tax, Antitrust and other key practice groups.
PRIVATE EQUITY
Our Private Equity Group advises leading private equity firms, entrepreneurs and emerging companies on venture capital financings, joint ventures, and leveraged buyouts and recapitalizations. Our lawyers work with numerous emerging companies in industries ranging from software, IT and business services to telecom, life sciences and media. We also represent a number of leading private equity firms on fund formations, early and later stage investments, buy-outs and recapitalizations.
REAL ESTATE
Our Real Estate Group provides comprehensive legal services to businesses and individuals engaged in the acquisition, development, construction, financing, leasing, ownership, operation, management and disposition of real estate. We assist our clients in such matters as the structuring of transactions and ownership interests, acquisition and disposition of properties and interests therein, obtaining land use and other applicable permits, negotiating and administering construction contracts, obtaining construction and long-term financing, and licensing and leasing.
RESTRUCTURING & INSOLVENCY
Our Restructuring & Insolvency Group offers a fully integrated, broadly based, troubled business advisory practice, counseling on all aspects of distressed transactions. Our lawyers are seasoned debtor, creditor, committee and special counsel in a wide variety of engagements, both pre and post bankruptcy filing, with especially deep experience in the telecom and health care sectors and extensive expertise in board advisory matters
SECURITIES
Our Securities Group has extensive experience in the representation of issuers and underwriters in the full range of capital market transactions around the world. Our transactions range broadly from small unregistered private placements to multi-billion dollar underwritten public offerings. We advise public companies and their insiders on public reporting requirements, stockholder matters, and listing requirements of the world's major stock exchanges.
