Our experience with emerging companies/venture financing includes acting as both investor’s counsel and as issuer’s counsel in connection with investments ranging from seed and first round venture financings to later stage investments.   Our involvement in the full range of emerging companies/venture financing allows us to help companies identify and negotiate for capital for growth and liquidity from experienced and knowledgeable investors.   In structuring transactions, we focus on optimizing financial results while obtaining favorable tax treatment for investors, entrepreneurs and acquirers.   Our work includes transaction structures ranging from seed financings and bridge loans to participating preferred stock investments.   We offer advice on current market trends and issues and work with portfolio companies and investors on follow-on filings and related concerns, including the impact of downrounds, possible recapitalization strategies and fiduciary duty concerns.
