Philips Holding USA Inc. Acquires The Genlyte Group Incorporated for $2.7 Billion

CHICAGO (November 26, 2007) — McDermott Will & Emery announced its representation of The Genlyte Group Incorporated (Nasdaq: GLYT) (Genlyte), in connection with its definitive merger agreement with Philips Holding USA Inc. (Philips), a fully-owned subsidiary of Royal Philips Electronics (AEX: PHI, NYSE: PHG) pursuant to which Genlyte will be acquired in an all-cash transaction for approximately $2.7 billion.  Genlyte, a leading manufacturer of lighting fixtures, controls and related products for the commercial, industrial and residential markets.
