McDermott Represents Morgan Stanley and Rothschild in Connection with CF Industries' Contests with Agrium and Terra Industries
NEW YORK (May 20, 2009) — McDermott Will & Emery LLP is representing Morgan Stanley & Co. and Rothschild in their role as financial advisors to CF Industries Holding, Inc. (CF) in that company's three-way battle with Agrium, Inc. (AGU) and Terra Industries, Inc. (TRA) in the fertilizer market.
CF industries Holding of Illinois, a holding company of one of the largest manufacturers and distributors of nitrogen and phosphate fertilizer products in North America, has offered to acquire rival Terra Industries for about $3.1 billion. At the same time, Agrium, a Canadian retailer of agricultural products and services, has made a hostile takeover bid for CF Industries Holdings valued at about $4.1 billion. CF Industries Holdings has rejected Agrium's latest take-over bid.
The McDermott team is led by Jeffrey Rothschild, partner in the Corporate Department based in New York, with assistance from New York corporate partner Stephen Older (on the Dealer-Manager Agreement) and Boston trial partner Josh Munn (on the litigation.
