SEC Adds New Reporting Events to Form 8-K and Accelerates Filing Deadline for Required Reports to Four Business Days

The Securities and Exchange Commission on March 11, 2004 amended Form 8-K (Release No. 33-8400, available at http://www.sec.gov/rules/final/33-8400.htm) to add eight new events that will require current reporting by U.S. public companies and to replace the current five business day and 15 calendar day deadlines with a four business day deadline for all mandatory reporting events. The amendments do not change the filing deadlines for Regulation FD disclosures and voluntary disclosures on Form 8-K.
