Our Telecommunications Group has significant experience assisting clients in navigating complex corporate transactions with telecommunications components. We have advised clients in many diverse areas, including acquiring stock or purchasing assets from telecommunications companies and gaining the necessary governmental approvals, quickly and effectively meeting regulatory due diligence obligations, and finding viable methods and strategies for transfers of telecommunications licenses and assets out of bankruptcy.
REPRESENTATIVE EXPERIENCE
- Advice to a large interexchange carrier with respect to federal and state regulatory approval requirements for several stock transactions
- Gaining approval from the FCC for the transfer of more than 1700 wireless licenses in an asset purchase arising out of the bankruptcy of a competitive telecommunications exchange carrier (CLEC)
- Advice on U.S., UK and German and cross-border merger and acquisition activities and assisting clients in complying with applicable domestic and foreign securities laws
- Advice on standard terms and conditions of sale for a range of businesses, including bandwidth exchanges, spectrum providers, wireless/mobile operators, dark or lit fiber providers and suppliers or purchasers of other communications services and equipment
