Securities Litigation
Our Securities Litigation Practice Group is comprised of lawyers with significant experience representing public companies, their officers, directors and other affiliates, who are the subject of securities-related litigation. Our lawyers have substantial experience defending individual, class and derivative actions. We have handled issuer fraud cases, corporate take-over contests, proxy fights and valuation cases, among others. We have represented clients in federal and state courts across the United States and have great familiarity with the corporate governance laws of the State of Delaware, where many of these actions are filed.
We also have extensive experience concerning the insurance issues that typically arise in securities litigation. Our experience in this area includes conducting risk assessments, analyzing and litigating coverage cases, and assessing and litigating excess liability or bad faith issues
Our securities litigation lawyers regularly deal with the governmental investigations that sometimes accompany securities litigation, such as investigations by the Securities and Exchange Commission (SEC). Certain members of our securities litigation practice group are also members of the Firm's SEC Defense Group. This group is led by former SEC Division of Enforcement lawyers who have significant experience in both prosecuting and defending against alleged securities law violations and who are intimately familiar with the internal workings of the SEC.
Our Securities Litigation Practice Group is complemented by the Firm's strong corporate practice. With practitioners in each of the Firm's offices, our Corporate Department has extensive experience in all aspects of documentation, bankruptcy and the regulatory implications of federal and state laws applicable to securities and corporate governance issues.
