The briefing is scheduled to last one hour.A recent SEC enforcement case emphasizes that public companies are required to have disclosure controls and procedures sufficient to ensure that required information in SEC reports is "recorded, processed, summarized and reported, within the time frames specified in the Commission’s rules and forms." This means that companies that are not ready by August 23, 2004, the effective date for the new Form 8-K, risk not only a failure to comply with required disclosure under Form 8-K, but also being in violation of the rule requiring SEC-reporting companies to maintain disclosure controls and procedures. This briefing is designed to provide timely assistance to public companies in preparing for the new current reporting regime.
