New Book Provides Clients with Essential Advice for Cross-Border Transactions

Overview

International law firm McDermott Will & Emery’s Brussels-based partner, Andrea Hamilton, co-authored Gun Jumping in Merger Control: A Jurisdictional Guide with the Mergers Working Group (MWG) of the Antitrust Committee of the International Bar Association.

The book, published by Concurrences in cooperation with the International Bar Association, is a comprehensive guide to managing transaction closings and the impact of antitrust rules across 21 major jurisdictions, encompassing all global regions and both established and emerging merger control systems.

The book also provides a high-level overview of key results from an MWG survey to provide unique insight into the international business community, from their advisors to members of their competition authorities.

The book is invaluable when advising clients on the do’s and don’ts of international deals. “It will undoubtedly be a go-to document on the key issue of what merging parties can or cannot do before they obtain formal approval for their transaction from competition authorities,” one reader emphasized. Commentators are praising the book for its “highly accessible, systematic” presentation, substantive analysis, and “excellent high-level view.”

Each chapter, focusing on a different country, comprises a series of questions-and-answers based around relevant legislation and illuminated by recent cases and decisions, followed by annexes on actual and hypothetical enforcement of specific conduct.

Andrea draws on experience from both sides of the Atlantic and focuses her practice on EU and international merger control investigations as well as non-merger conduct investigations and antitrust litigation. She regularly represents clients before the European Commission, European courts and national competition authorities and also coordinates global investigations.
