Overview
Jerome (Jerry) B. Tichner focuses his practice on representing hospitals and health systems in transactional matters, including mergers, acquisitions, joint ventures, affiliations and dispositions. He also devotes a significant portion of his practice to representing private equity firms and their platform companies with respect to the acquisition and divestiture of health care-related companies and assets. In recent years, Jerry has led or played a leading role in transactions involving the purchase, sale or affiliation of more than 35 hospitals nationally.
Jerry is a member of the Firm’s Health Industry Advisory Practice Group. While in law school, he was the executive editor of the American Journal of Law & Medicine.

- Representation of a non-profit Catholic health system with respect to its sale of six hospitals and affiliated assets to a private-equity funded for profit health care system and the subsequent representation of the for-profit system in its acquisition of multiple other hospitals
- Representation of multiple private equity clients with respect to their respective acquisition of assets of, and ownership interests in, sub-acute health care providers (e.g., behavioral health providers, hospice providers) in multiple states
- Representation of private equity clients with respect to health care issues related to credit/financing agreement
- Representation of a non-profit Catholic health care system with respect to its entrance into a three-way hospital system joint venture
- Representation of a for profit hospital system’s acquisition of the assets of multiple hospitals
- In multiple transactions for multiple clients, representation of multi-hospital non-profit health care systems in their respective affiliations with other non-profit health care systems under common parents
- Representation of a multi-state diagnostic imaging company’s acquisition of the assets of five diagnostic imaging centers in Massachusetts
- Representation of a hospital system with respect to a successful settlement under CMS’ Voluntary Self-Referral Disclosure Protocol
- Representation of a Texas-based hospital system with respect to its establishment of multiple tax-exempt research foundations
