McDermott Announces Release of Updated IPO and Public Company Primer

Overview

CHICAGO (July 11, 2014) — McDermott Will & Emery is pleased to announce the release of the new 2014 edition of the IPO and Public Company Primer, co-authored by Corporate partners David A. Cifrino, Thomas P. Conaghan and Thomas J. Murphy, and published by RR Donnelly.

The primer offers concrete guidance to companies seeking to conduct an initial public offering (IPO), including detailed information about the IPO process, how to navigate the complex web of regulations associated with the process, and what to expect after the IPO.

Companies going public today face a unique financial and regulatory environment as the nation’s economy continues its slow rebound from nearly a decade of volatility. This publication covers new trends that have emerged that impact the way companies are going public, including under the recently enacted Jumpstart Our Business Startups (JOBS) Act, in which emerging growth companies may initially make confidential submissions of their registration statements to the Securities and Exchange Commission and include financial statements covering fewer past periods than previously required for all companies.

“McDermott has an active and growing capital markets practice representing both issuers and underwriters in IPOs,” said Joel Rubinstein, head of the Firm’s Capital Markets and Public Companies practice. “This publication showcases our broad institutional knowledge of the process and how we share that knowledge with our clients to empower them to succeed in today’s highly regulated environment.”

The comprehensive 400-page primer, which updates an earlier version published in 2012, can be found here. Printed copies are available upon request from Teresa Karama at tkarama@mwe.com.

McDermott Will & Emery’s corporate practice represents a wide spectrum of business interests around the world, from global corporations and industry leading companies to privately funded and entrepreneurial driven enterprises, as well as the financial institutions that support them. The Firm’s Capital Markets and Public Companies Practice Group represents issuers and underwriters across a wide spectrum of capital market transactions globally. Operating from some of the world’s largest financial centers, McDermott securities lawyers have demonstrated success with deep experience on a broad range of transactions from small unregistered private placements to multibillion dollar registered underwritten offerings, from basic common stock to high-yield debt, to exotic hybrid instruments, often involving multiple issuers.
