Düsseldorf (February 11, 2011) — McDermott Will & Emery advised Rogers Corporation (NYSE: ROG) on the acquisition of 100% of the stock of Curamik Electronics GmbH, a manufacturer of power electronic substrate products headquartered in Eschenbach, Germany, for €116 million (subject to purchase price adjustments).
Curamik, founded in 1983, is the worldwide leader for development and production of direct copper bonded (DCB) ceramic substrate products used in the design of intelligent power management devices.
The transaction team was led by Düsseldorf-based Corporate partners Konstantin Güenther and Robert Manger, and included counsel Patrick Nordhues and associate Thomas Ammermann. Munich-based Employee Benefits partner Paul Melot de Beauregard and Intellectual Property Litigation partner Christian Masch were also part of the deal team. David Cifrino, a Corporate partner based in Boston, handled the SEC disclosure requirements relating to the transaction. Chicago-based Corporate partner Michael Boykins negotiated the loan agreement between Rogers and JPMorgan Chase that allowed Rogers to fund the transaction. Rogers is a corporate client of Byron Kalogerou of the Boston office and Andrew Liazos of the Boston office handles all Rogers executive compensation matters.
