CHICAGO (April 25, 2012) – International law firm McDermott Will & Emery LLP today announced that it successfully represented H.I.G. Growth Partners and its newly formed portfolio company, Community Intervention Services, Inc, (CIS), in the acquisition by CIS of Massachusetts-based South Bay Mental Health Center, Inc. The McDermott team also advised on the financing of the deal, which included both senior secured term and revolving credit facilities from multiple sources.
This acquisition is a first for CIS, which was established by H.I.G. in partnership with veteran behavioral healthcare executive Kevin Sheehan, to acquire, develop and operate a national network of specialized mental health and substance abuse facilities and community-based programs. Headquartered in Brockton, MA, South Bay is the largest provider of outpatient, community-based behavioral health services in the region.
H.I.G. Growth Partners is the dedicated growth capital investment affiliate of H.I.G. Capital, a leading global private equity investment firm with more than $8.5 billion of equity capital under management.
“We are very pleased to have worked alongside H.I.G. to complete this transaction on behalf of its new portfolio company CIS,” said McDermott lead attorney and Corporate Advisory partner Harris C. Siskind. “Our multi-disciplinary team of corporate, finance, health and employee benefits attorneys provided the full-range of legal services required to successfully complete this deal. With private equity investment in healthcare services steadily on the rise, McDermott is well positioned to facilitate greater investment in this sector through a combination of in-depth private equity experience and highly focused health industry knowledge.”
In addition to Mr. Siskind, the McDermott acquisition team included partners Jerome B. Tichner, Jr., Gregg H. Fierman, Daniel N. Zucker, Maureen O'Brien, Heather Egan Sussman, counsel Mark W. McCarthy, and associates Marianna S. Lopez, Jacqueline Fishbein, Patrick Healy, Sarah Kitchell, Jeffrey K. Ekeberg and Sabrina E. Dunlap.
