ROME (September 5, 2012) – International law firm McDermott Will & Emery announced its Italian Offices have successfully represented FMC Corporation, one of the world’s foremost diversified chemical company serving agricultural, industrial, environmental and consumer markets, listed on the NYSE, in the acquisition of Pectine Italia, a leading Italy-based manufacturer of pectin for the food ingredients market.
FMC Corporation operates its businesses in three segments: Agricultural Products, Specialty Chemicals and Industrial Chemicals. In 2011, the company had annual sales of approximately $3.4 billion. The acquisition marks FMC's entry into the pectin market.
Pectine Italia produces pectin, a stabilizer and thickening agent derived from lemon peels used in many foods. The company has production facilities in Milazzo, on the island of Sicily.
McDermott has successfully assisted FMC Corporation in structuring the operation and in negotiating and subscribing the company transfer contract. The McDermott team included partner Massimo Trentino and associate Gianmarco Scialpi based in the Rome office.
“We are pleased to have worked alongside FMC Corporation to complete a strategic and important cross-border transaction for our client,” said the Italian Office Head and Corporate Advisory Partner, Massimo Trentino. “The capability to advise international clients is not only a characteristic of our transactional team but has always represented a fundamental skill that all our lawyers handle,” he concluded.
McDermott’s Corporate Advisory Practice Group represents a wide spectrum of business interests around the world, from Global 50 companies to venture backed start-ups, as well as the financial institutions that support them. The team is comprised of highly skilled and collaborative business lawyers focused on solving complex business problems and acting as strategic partners in the execution of clients' strategic M&A initiatives and capital raising plans.
