CHICAGO (December 12, 2012) — McDermott Will & Emery LLP successfully represented S&C Electric Company (S&C) in connection with a tender offer that resulted in S&C being owned 100 percent by S&C’s employee stock ownership plan (ESOP). The transaction closed on November 9. 2012.
S&C is a global provider of equipment and services for electric power systems. Founded in 1911, the Chicago-based company designs and manufactures products and provides solutions for switching, protecting and controlling electric power transmission and distribution systems. The tender offer followed transactions in 2007 and 2010 in which the ESOP became the controlling shareholder of S&C. McDermott advised on both prior transactions.
