Tom Calnan focuses his practice on commercial real estate transactions and has a wealth of experience in the UK market including investment acquisitions and disposals, mixed-use development, hotel and leisure deals and structured real estate transactions, with a particular focus on the private equity sector. Tom also handles the real estate aspects of property finance and corporate finance transactions. He has a great deal of experience acting for Middle Eastern clients on cross-border multi-disciplinary deals involving Middle Eastern entities seeking to invest in the United Kingdom and Europe.


  • Acted for Oryx Real Estate Partners UK Limited in relation to its establishment of a UK Real Estate Fund, and subsequently on the acquisition by the Fund of a business park in Hatfield. This was this Middle Eastern client’s first UK property acquisition, and will springboard additional deals as Oryx expands its real estate platform in the United Kingdom. Helios Court consists of a multi-let office building, providing 39,859 sq ft of accommodation
  • Acted for Sequoia in relation to the real estate aspects of a mezzanine financing deal, in respect of the acquisition of 23 UK-based care homes. This included real estate advice in relation to a sale and leaseback of the portfolio to a long-term income fund, as part of the overall funding for the acquisition. Also subsequently advising this client on the real estate aspects of various other financing transactions
  • Advising the Soller Group in relation to its acquisition of a large London office building, including tax and structuring advice in respect of the related sale and leaseback of the property to a long-term income fund. Subsequently advising Soller on its occupational letting of the whole building to WeWork
  • Advised one arm of a family business in relation to a care home acquisition, development and related JV agreement with a well-known senior living provider in the southeast of England. Work included negotiating and agreeing DMA and PMA documents, and advising on the JV’s working and operational arrangements going forward
  • Acting for Yianis in relation to its refinancing of the Riverside Plaza Hotel, Canary Wharf
  • Advised lender client Resolution Finance in relation to the refinancing of a care home portfolio for approximately GBP 20 million; real estate advice included detailed title review, and construction report
  • Acted for a large UAE-based sovereign wealth fund in connection with the portfolio acquisition of a major hotel chain in the UK for c. GBP 650 million*
  • Advised British Land in connection with the acquisition of a major shopping center constructed above the Birmingham New Street railway station, as well as in respect of the corporate acquisition of One Sheldon Square, Paddington*
  • Advised Select Group Limited on its global hotel operations, specifically in relation to (1) the Intercontinental hotel in Dubai Marina., and (2) its bid for the Jumeirah Hotel, Frankfurt. Also advising Select generally on its property interests in Europe, particularly within the hotels and hospitality sector*
  • Advised PGIM Real Estate on a number of deals for various pension funds, most recently the sale and leaseback of the Nottingham Belfry Hotel, Nottingham*
  • Acted for HIG Capital in relation to its commercial property investments in Manchester, and Germany*
  • Acted for Urban Exposure Limited in relation to its financing of the Surrey Canal urban renewal development in New Bermondsey, London*
  • Acted for Canary Wharf Group in relation to a number of its high-value strategic pre-let arrangements at Canary Wharf, for a number of the company’s institutional tenants*
  • Advised Meraas Holding on their development of a Madame Tussaud’s at Bluewaters Island, part of the Dubai-Eye development *
  • Acting for ING in respect of the real estate aspects of a GBP 35 million facility agreement entered into with Western Heritable Limited*
  • Acting for Quintain on the grant of a new ground lease at Hilton hotel, Wembley Park for a consideration of c. GBP 7 million*
  • Led a team that was appointed onto AIG’s real estate panel for all of AIG’s pan-European corporate occupancy and real estate management work*
  • Acting for the Crown Estate for many years in connection with its London real estate portfolio*
