Harold C. Davidson focuses his practice on complex business transactions, including private and public mergers and acquisitions; principal and private equity investments; securities offerings; joint ventures; restructurings; and structured finance arrangements. Harold also regularly represents and advises public and private companies in corporate finance and governance matters, and private equity and venture capital firms with respect to their investments in public and private companies.
Many of the transactions upon which Harold has advised have been cross-border in nature, including experience in the United Kingdom, France, Germany, India, Colombia, Luxembourg and the Cayman Islands. Harold has represented clients in a wide range of industries, including financial institutions and companies in the media, technology, alternative energy, alcohol beverage, health care, real estate and entertainment sectors.
Served as lead counsel to Credit Suisse in creation of a joint venture to finance $1 billion of commercial solar energy systems
Served as lead counsel to a global financial institution in connection with numerous alternative energy investments, including in the wind, solar and fuel cell energy sectors
Served as lead counsel to Silver Eagle Acquisition Corp., a special-purpose acquisition company (SPAC), in its $270 million acquisition of Videocon d2h Limited (NASDAQ: VDTH), a direct-to-home pay-TV provider in India, which transaction represented one of the largest US media investments in India
