Carl J. Fleming focuses his practice on mergers and acquisitions, project development and project finance, predominately in the renewable energy industry. He leads energy, infrastructure and PPP transactions throughout the US and in more than 40 countries worldwide. Carl represents private equity investors, Fortune 500 companies, foreign governments, and a broad range of leading renewable energy developers and sponsors.
Carl provides legal and commercial advice for the development, construction, operation, purchase and sale, and financing of projects and infrastructure, including wind power, solar power and other alternative energy projects. He counsels clients in all aspects of equity purchases and sales, debt and equity financings, power purchase agreements, concession agreements, and project development, including construction contracts for solar and wind farms, equipment supply contracts for solar panels and wind turbines, equipment services and warranty agreements, operations and maintenance agreements, asset management agreements and construction management agreements. His work has been featured in The Wall Street Journal, Washington Lawyer and Africa Insider. Carl is recognized as a “Rising Star” and one of the “Top Rated Energy & Natural Resources Attorneys in Washington, DC”.
Earlier in his career, Carl worked for the US government at the Millennium Challenge Corporation, where he served as an advisor, a diplomat, and a senior international attorney throughout Africa, the Middle East, Latin America and Asia. He advised the White House, Secretary of State and USTR on the development, construction and financing of energy, road, water, airport and other large-scale infrastructure and PPP transactions exceeding an aggregate value of $12 billion in more than 32 countries.
The Secretary of Commerce has appointed Carl to the US Department of Commerce’s Renewable Energy and Energy Efficiency Advisory Committee, responsible for advising the Secretary of Commerce to improve the competitiveness of US wind, solar, battery storage and electric vehicle sectors domestically and abroad.
The Commerce Department has selected Carl to be a member of the Power Africa Working Group, a White House initiative to increase energy generation, transmission and distribution in Africa, which has resulted in the completion of more than 80 projects worth over $14 billion.
A prominent author and speaker, Carl has spoken throughout the US and Africa on topics such as renewable energy, developing “bankable” projects, cross-border transactions, PPPs, public policy and trade. He has written, or contributed to the writing of, several books or chapters on topics such as negotiating power purchase agreements, negotiating financeable construction, equipment procurement and service contracts and cross-border transactions.

- Represented Quinbrook Infrastructure Partners in its construction debt and tax equity financing of an early stage 200 MW wind project in Oklahoma financed by GE*
- Represented a US solar energy development subsidiary of a large European developer in the structuring and negotiation of a $500 million platform agreement with an international insurance company to provide funding for the development and sale of a portfolio of solar projects in the US*
- Represented Emerging Capital Partners, along with its investment partners, on its sale of the leading private reinsurance company in Africa, with operations in more than 44 countries across the continent and offices in Nigeria, Cameroon, Botswana, Cote d’Ivoire, Kenya and Tunisia*
- Represented Sammons Renewable Energy in its acquisition and financing of a 163 MW wind project in Texas from Apex Energy and financed by Citi*
- Represented Sammons Renewable Energy in its acquisition of a 194 MW solar portfolio of operating projects in South Carolina from Heelstone Energy*
- Advised the Government of Tanzania in the implementation of a $698 million compact to improve the reliability and quality of its electric power and to extend its electricity service*
- Advised the Government of Ghana in the development of a $498 million compact to transform its power sector*
- Advised the Government of Malawi in the implementation of a $350 million compact to revitalize its power sector and improve the availability, reliability and quality of its power supply*
- Advised the Government of Liberia in the development of a $257 million compact to transform Liberia’s energy sector through electricity generation, electricity access and policy reform*
