Benjamin (Ben) Kirschner focuses his practice on transactional real estate matters. He has represented a broad range of clients in real estate transactions, including acquisitions, dispositions, development, leasing, ground leasing, joint ventures and financing of residential, multi-family, office and industrial properties. Ben also has counseled clients on the real estate aspects of large corporate transactions.
Beyond his active legal practice, Ben has represented clients, pro bono, in negotiating for the lease of office space, obtaining affordable financing, obtaining U-visas and negotiating the repayment of Social Security overpayments.
Results
- Represented a healthcare system operator in connection with numerous sale-leaseback, subleasing, hospital operations/physician group acquisition/disposition, development and loan transactions involving various hospitals, medical office buildings and outpatient centers throughout the United States. Two of such transactions resulted in awards for MWE’s team, the 17th Annual M&A Advisor Awards – M&A Deal of the Year ($1B-$10B) and the 16th Annual M&A Advisor Awards – Healthcare and Life Sciences Deal of the Year (Over $100MM)
- Represented a healthcare system operator in its recapitalization of its domestic operations and spinoff of its international operations into an independent physician and REIT-owned joint venture
- Represented an automotive remarketing and technology services provider in the spin-off of its wholly-owned $5.1 billion salvage auction business, including the transferring of approximately 370 domestic and international properties and separating out commingled real estate interests for an additional 52 properties
- Represented a healthcare system operator in its $240 MM sale-leaseback of a portfolio of 8 medical office buildings
- Represented a physician practice in its $38 MM sale-leaseback of a portfolio of 9 medical office buildings
- Represented a client in separate acquisitions and related bridge financings of seven residential apartment complexes located in Texas, Oklahoma and Ohio
- Represented a client in the sale of a $4 million industrial facility
- Represented an investment fund in the purchase of a $210 million office building complex located in Denver, Colorado
- Represented a client in the $85 million disposition of two shopping centers located in Florida
- Represented a client in the joint venture/acquisition of a vacant land in connection with its plan to develop $1.5 billion of mixed-use property
- Represented a client in the joint venture/acquisition of six shopping centers located in Virginia
- Represented a client, as landlord, in the retail lease of ground floor space to a gourmet burger restaurant
- Represented a pension fund, as landlord, in numerous office space leases
- Represented a client in the negotiation of management agreements and related service contracts for a chain of international all-inclusive resorts
- Represented a client in the revision of a joint-use agreement for use of a shared atrium located between a hotel and neighboring office building in South Carolina
