Overview
Alfred Cheng advises clients on a broad range of technology and intellectual property-related transactions, including cloud computing and software as a service (SaaS) offerings, software licensing and maintenance/support services, IT and business process outsourcing, technology development, and distribution and reseller arrangements. He also advises clients on technology and intellectual property issues relating to the acquisition and divestiture of businesses. Alfred authored the “Privacy & Data Security” chapter of Outsourcing: Laws and Business, a legal treatise published by Law Journal Press.
To meet the needs of clients’ outsourcing challenges, Alfred and a team of outsourcing lawyers have designed a downloadable master outsourcing service agreement (MOSA) for US law and certain international jurisdictions.
Previously, Alfred was a partner at an international law firm, an equity analyst at an investment management firm, and a consultant for an Inc. 500 technology consulting firm.
Results
Technology and Commercial Transactions
- Served as primary outside counsel for a Fortune 500 diversified financial services company, representing the company in its technology and commercial transactions
- Served as primary outside counsel for a Boston-based software company that provides industry leading software to large financial institutions, representing the company in its customer contracts and procurement transactions
- Previously seconded on a part-time basis to the in-house legal departments of (1) a multinational engineering and construction firm and (2) one of the largest restaurant chains globally, representing both companies in their procurement contracts for information technology services and productss
- Represented one of the largest freight railroad operators in North America in the procurement of various telecommunications and information technology services and products
- Represented Spirit AeroSystems in SaaS cloud-computing agreements, and other technology transactions matters; Spirit is the world’s largest, first-tier aerostructures manufacturer and a spin-off of Boeing that manufactures and assembles aerospace products for Boeing, Airbus, Gulfstream, Bombardier and Sikorsky Helicopter
Outsourcing
- Represented CoreLogic in a BPO transaction with TCS, whereby TCS will provide data entry, verification and reporting services
- Represented Dean Foods Company in working with its third-party technology advisor, ISG, in developing and conducting its competitive procurement process for IT and related services; our representation continued through successful negotiations with the successful provider
- Represented a leading US defense contractor in a full-scope outsourcing of the company’s information technology functions to Computer Sciences Corporation
- Represented Nokia Corporation in two large IT outsourcing transactions: a global, full-scale IT outsourcing deal with HCL covering end user services, including service desk, on-site support, workstation management and end point security; and a long-term service agreement with VeriSign establishing a global managed security services solution, covering security event management, vulnerability scanning, threat analysis and other data security services
- Represented a European joint venture in an IT outsourcing agreement with a related entity; the transaction was a six-year, full-scale, global IT outsourcing agreement covering user care, back office, client system, data center and local area network services with a total deal value of well over $1 billion
