Overview
Samuel (Sam) W. Wales has a wide-ranging practice representing private equity funds and publicly traded and privately held companies, with an emphasis on mergers, acquisitions, divestitures, recapitalizations, joint ventures and the related financing required to fund such transactions.
Sam has represented clients in a wide array of transactions, business ventures and general corporate matters. He has extensive experience representing private equity funds in leveraged buyouts of public and private companies, growth equity and venture capital investments, divestitures and recapitalizations. He also represents publicly traded and privately held companies in connection with a variety of corporate matters, including strategic mergers and other acquisitions, divestitures, joint ventures, financings, restructurings, recapitalizations and general corporate matters.
In addition, Sam advises boards of directors of publicly traded and privately held companies with respect to complex transactions, corporate governance and other material corporate matters. He also represents publicly held companies, venture capital funds and emerging companies in early and later stage venture investments.
