SELECT INVESTIGATION MATTERS

  • Conducted board audit committee investigation for a Fortune 500 publicly traded software technology and services company regarding financial accounting, public disclosures, executive compensation, senior management conduct, whistleblower claims and retaliation allegations. Representation included advising the audit committee in connection with a related SEC investigation.
  • Represented a board special litigation committee of the then-largest non-traded real estate investment trust (REIT) in connection with an independent investigation of derivative demand allegations, along with an SEC investigation.
  • Conducted board audit committee investigation for a large publicly traded server technology company for multiple internal investigations of accounting issues, including revenue recognition, internal controls and senior management conduct. Representation included advising the audit committee in connection with a related SEC investigation, NASDAQ matter and financial restatement.
  • Represented the audit committee of the board of a Fortune 500 cybersecurity company in conducting an internal investigation regarding insider trading and public disclosure issues and for a related SEC matter.
  • Conducted investigation for a special committee of the board of a publicly traded company regarding potential Foreign Corrupt Practices Act (FCPA) violations.
  • Represented the audit committee of a Fortune 500 national travel services company in an investigation matter.
  • Conducted board investigation for a large (over $1 billion valuation), privately held software company involving issues related to revenue recognition and violations of company policies.
  • Conducted internal investigation for a publicly traded, high-profile apparel company regarding anti-corruption issues in Asia.
