Raymond Jacobsen said the Trump Administration’s opposition to the AT&T/Time Warner merger is “very unusual” because the transaction is “a purely vertical merger.” As he explained, ”In challenging horizontal mergers, if [the Department of Justice] shows that the merger creates a firm with a high market share, DoJ gets the benefit of a presumption that the merger is unlawful. That doesn’t occur with vertical mergers.”
