Andrew Liazos said that a Delaware Chancery Court decision to allow a shareholder derivative lawsuit over pay to board of director members was important because the compensation was not “staggeringly high” or “startling. We’ve all seen director pay within these limits.” Speaking at an ALI-CLE executive compensation conference, Mr. Liazos added that other similar cases are being brought, meaning that the increase in legal challenges to director compensation “is not going to go away.” Read the full article
