Lowell Yoder and Timothy Shuman were profiled as “Dealmakers of the Week” for advising Coty Inc. on its use of a Reverse Morris Trust to acquire the hair color, cosmetics and fine fragrance businesses of Procter & Gamble. Mr. Yoder noted that Coty retained a McDermott team that included Barry Quirke and Philip Levine (tax), Joe Winterscheid and Gregory Heltzer (antitrust) and John Roberts in order to “best position itself in the transaction,” which Mr. Shuman added used the Morris Trust strategy that is frequently discussed but less seldom used.
