Eugene Goldman urged that companies use independent directors to conduct internal investigations of alleged wrongdoing. “They have the credibility to evaluate the robust nature and results of the investigation independently, treat people fairly and oversee decisions on disciplinary measures,” Mr. Goldman said, adding that outside vendors can help sift through the large amounts of data collected during an investigation. Mr. Goldman also noted that foreign legal regimes can complicate investigations because “some countries are not used to the ‘American style’ of investigations … [and] are quite interested in protecting their privacy and employment rules of the workplace.”
