Gary Gertler discussed the use of non-disclosure agreements (NDAs) to exchange confidential information between two parties in a healthcare transaction. Mr. Gertler cautioned that NDAs should be clearly drafted, because “the reason you want to describe the purpose is to ensure that the confidential information is only used in connection with an analysis concerning the transaction.
