M&A Antitrust Playbook for In-House Counsel

Jon Dubrow wrote this bylined article advising in-house counsel on how best to prepare for the possibility of a government challenge to a merger or acquisition. “Each case needs to be evaluated, and experienced antitrust counsel should be consulted for any transaction that may raise antitrust issues,” Mr. Dubrow wrote, but he added that in-house counsel can use the Horizontal Merger Guidelines as an “antitrust M&A playbook … to develop the game plan to advance the transaction towards the ultimate goal of regulatory clearance.”
