MIAMI (December 22, 2015) — International law firm McDermott Will & Emery acted as legal advisor to private equity firm H.I.G. Capital and trailer manufacturer Big Tex in the sale of the latter to Bain Capital Private Equity. Miami-based partner Harris Siskind, co-head of McDermott’s private equity practice, led the legal team advising on the sale.
Financial terms of the transaction were not disclosed.
In addition to Mr. Siskind, the cross-practice McDermott team representing H.I.G. Capital and Big Tex included Corporate Advisory lawyers Matthew Bielen, Alex Clavero, Cristy Delgado, Gregg Fierman, Gary Rosenbaum and Sarah Steigleder. In addition, McDermott Tax partner Dan Zucker and Employee Benefits partners Maureen O’Brien and Patrick Ryan were members of the deal team.
Headquartered in Mt. Pleasant, Texas, Big Tex manufactures professional grade open utility, equipment, horse, livestock, and cargo trailers and truck beds under such brands as Big Tex, CM, S&H, and Circle J. Founded in 1982, the company serves dealers and customers across North America.
McDermott advised Miami-based H.I.G. Capital with its platform acquisition of Big Tex in 2012 and represented Big Tex on numerous corporate matters throughout HIG Capital’s ownership of the company. Terms of those transactions were not disclosed.
