MUNICH (9 July, 2018) – McDermott Will & Emery advised Armacell International S.A. on the acquisition of China based GUANGDONG DE XU INSULATION MATERIALS CO. LIMITED from several individual shareholders.
DE XU provides complete insulation system solutions for construction facilities throughout China and around the world: rubber and plastic insulation systems, exterior wall insulation systems, duct insulation systems and exterior protection systems.
As the inventors of flexible foam for equipment insulation and a leading provider of engineered foams, Armacell develops innovative and safe thermal, acoustic and mechanical solutions. With 3,000 employees and 26 production plants in 16 countries, the company operates two main businesses, Advanced Insulation and Engineered Foams, and generated net sales of EUR 603 million and adjusted EBITDA of EUR 102 million in 2017.
McDermott’s Munich based partner Dr Nikolaus von Jacobs and his team have been mandated for this transaction by Armacell for the first time. As for the Chinese law aspects of the transaction, McDermott’s European China Desk cooperated with its strategic alliance partner MWE China Law Offices.
