Frankfurt a. M., November 23, 2017. – International law firm McDermott Will & Emery advised S&T AG and Hauck & Aufhäuser Privatbankiers Aktiengesellschaft as US transaction counsel in connection with a private placement of newly issued S&T shares that raised gross proceeds of approximately EUR 88 million. Austria-based S&T is a leading supplier in Central and Eastern Europe of IT systems and of the services and solutions comprised in them. Its shares are listed on the regulated market of the Frankfurt Stock Exchange and included in the TecDAX index of Deutsche Börse AG.
The capital increase represents approximately 10% of S&T’s outstanding share capital and will increase the total number of shares to 63,379,178. The 5,761,743 new shares were placed exclusively with institutional investors via an accelerated book building process and will be admitted to trading on the Frankfurt Stock Exchange. The shares were issued to investors at a price of EUR 15.30 per share. Hauck & Aufhäuser acted as sole global coordinator for the transaction.
