McDermott Advises Senior Lenders on the Owner Buy Out of Groupe Vitalis

McDermott Will & Emery advised the senior lenders (BNP Paribas, Société Generale, CIC Nord Ouest, Credit Agricole Provence Cote D’Azur, Credit Agricole Nord de France), in the context of the entry of minority shareholders into the capital of the Vitalis Group, a leading French company in the packaging and trading of potatoes and condiments.

The new shareholders include Nord Capital Investissement, a subsidiary of Crédit Agricole Nord de France, Sofipaca, a subsidiary of Crédit Agricole Alpes Provence and Provence Côte d’Azur, and the Regain340 and Obligations Relance funds managed by Turenne Groupe following a competitive process led by Oaklins.

This OBO, five years after the capital consolidation of the Billaut, Bateman, Coo, Leconte and Loridan families, launches the Group into a new phase of its growth strategy and affirms its ambition to become a leading ETI in France and Europe.

The McDermott team that advised the senior lenders in the implementation of the acquisition debt in this transaction was composed of :
