McDermott Will & Emery advises TOUAX in the sale of it’s Modular Division in Europe to TDR Capital LLP

Overview


PARIS (September 4, 2017) – International law firm McDermott Will & Emery advised TOUAX SCA (“TOUAX”), group specialized in the rental, management and sale of sea containers, modular buildings, freight wagons and river barges, in the intended sale of Touax Solutions Modulaires SAS, Touax’s Modular Division Europe, to a company controlled by funds managed by TDR Capital LLP.

TDR Capital LLP manages funds that currently hold a controlling interest in Algeco. TDR Capital LLP and TOUAX aim to close the transaction in the second half of 2017, following the information / consultation of employee representative bodies and subject to merger-control clearance in multiple jurisdictions.

As a result of the intended sale, TDR Capital LLP is considering the option of integrating Touax Solutions Modulaires with and into its portfolio company Algeco. At this stage no plan has been formulated, no decision has yet been taken, the integration option to be discussed in advance with Algeco and Touax Solutions Modulaires employee representatives bodies.

The proposed transaction and the potential integration of Touax Solutions Modulaires into Algeco would be a unique opportunity for both companies to strengthen the leadership of the new group in a highly competitive marketplace but also for its employees, customers and shareholders. TOUAX could thus accelerate its development and strengthen its leadership in its transportation equipment leasing activities. TOUAX is the European leader in container and barges, and the second largest operator of European wagons (intermodal wagons).

The multi-disciplinary McDermott team advising TOUAX was led by Transactions partner Henri Pieyre de Mandiargues, and included associate Ali Afshar Saber on the corporate aspects, partner Lionel Lesur and associate Louise Aberg on the competition law aspects, counsel Myrtille Lapuelle on the labor law aspects as well as associate Romain Desmonts on the tax law aspects.
