I do not expect there to be a dramatic departure from past practice … with the SEC looking the other way.”Ian Schwartz agreed that in complex deals like co-investment, “sponsors need to make sure they are working with sophisticated counsel that … knows what the SEC is focused on and what disclosures the regulator will be looking for.”
