SEC Proposes Pay v. Performance Rule, Uses Total Shareholder Return as Key Metric

Andrew Liazos said of the SEC’s proposal to require that companies disclose executive compensation in light of company’s performance, “Certainly one could envision it being more onerous than it is.” However, Mr. Liazos continued, the requirement that companies make the disclosure in eXtensible Business Reporting Language “could be one of the things that has unanticipated results. This is the first time it’s been done for proxy information.”
